EPH Group AG (the "Company") announced on 14 April 2026 its intention to increase its share capital from the current EUR 1,000,000 by up to EUR 142,858 through the issuance of up to 142,858 new no-par value bearer shares (the "New Shares"), each representing a proportionate amount of EUR 1.00 of the share capital, thereby increasing the Company's share capital to up to EUR 1,142,858 (the "Capital Increase").

Existing shareholders were entitled to exercise their subscription rights during the subscription period from 20 April 2026 to 20 May 2026. Subsequently, since 21 May 2026, interested investors have been able to subscribe for New Shares in the context of a public offering in Austria and Germany, which was originally scheduled to end on 26 June 2026 at 12:00 noon (subject to any extension or early termination).

Today, the Management Board resolved to exercise its right to extend the subscription period for the public offering in Austria and Germany until 31 July 2026, 12:00 noon (CEST). The extension is intended in particular to allow the Company to conclude ongoing discussions with potential investors.
