Amprion welcomes RWE’s entry into M31EQS-News: Amprion GmbH / Key word(s): Miscellaneous Dortmund, Monday, 22 June 2026 Amprion welcomes RWE’s entry into M31 RWE is increasing its stake in Amprion to an indirect majority holding supporting the upcoming major investments in the German transmission grid and Amprion’s growth. In this context, RWE is acquiring shares in M31 Beteiligungsgesellschaft mbH & Co Energie KG, the majority shareholder of Amprion. By taking a stake in M31, RWE is acquiring an indirect 35 percent interest in Amprion GmbH. RWE is already invested in Amprion with an equivalent of 20 percent via RWE Alkaios Holding GmbH, a joint venture between RWE AG and Apollo Global Management. This transaction increases the total indirect shareholding of RWE in the transmission system operator to 55 percent. Amprion’s direct ownership structure remains unchanged: M31 continues to hold 74.9 percent. The remaining 25.1 percent stay with RWE Alkaios Holding GmbH. Amprion will continue to be accounted for as a pure at-equity investment by RWE. Strong commitment to grid expansion “We welcome this transaction and see it as a sign of confidence in our strategy and performance,” says Dr Christoph Müller, CEO of Amprion GmbH. “It is an important step towards financing the major investments ahead and supporting our growth. The shareholding is consequently positive for the success of the energy transition.” Dr Markus Krebber, CEO of RWE AG: “We are expanding RWE’s portfolio into grid infrastructure. By increasing our stake in Amprion and providing additional funding for the expansion of Germany’s transmission grid, we gain further attractive growth opportunities. “ Amprion remains an independent transmission system operator Amprion’s status as an Independent Transmission Operator (ITO) remains unaffected by the transaction. An ITO is an independent transmission system operator that is organised and regulated – legally, organisationally and in its decision-making – in such a way that non-discriminatory grid operation is ensured, as with a fully independent company. This framework is laid down by law. RWE’s commitment supports the extensive investment programme of one of Europe’s leading transmission system operators. Amprion plans to invest around 42 billion euros in expanding its grid by 2030 on the path to climate neutrality. Our 11,000 kilometre-long, extra-high voltage grid extends from the North Sea to the Alps and spans seven federal states. It is the backbone of the German economy and transports electricity for 29 million people. Located in the heart of Europe, it serves as a European electricity trading hub. On 31 December 2025, Amprion employed 3,400 people. They support our core objectives of readying the grid for a climate-neutral future and maintaining the stability of the German and European electricity grids at a crucial time. 22.06.2026 CET/CEST Dissemination of a Corporate News, transmitted by EQS News - a service of EQS Group.
