HELIOS SOLAR AG acquires of 100% of a Malaysian company and signs MOU with MaMing Property Management Sdn. Bhd. for project development in Asia

 

Frankfurt am Main, Germany, September 1, 2026 – HELIOS SOLAR AG ("HELIOS"; ISIN: DE000A42D2N5, WKN: A42D2N, ticker symbol: HE8) announces that it has acquired 100% of the shares in the Malaysian company AURORA SOLAR CITY Sdn. Bhd. (“AURORA”) for a total purchase price of EUR 1.00.

AURORA is a company that has not yet commenced business operations. It recently was established by Mr Thuan Ming Ong, a member of the Management Board of HELIOS, in order to operate primarily for the HELIOS Group in the planning and development of futuristic residential buildings and townships, with a particular focus on ESG principles and solar installations.

For the purpose of commencing its business activities, AURORA entered into a Memorandum of Understanding (“MOU”) with the Malaysian company MaMing Property Management Sdn. Bhd. concerning a proposed collaboration on the development of residential and commercial projects in Malaysia, Cambodia and Kazakhstan.

The MOU sets out the key parameters of the intended collaboration. Subject to the definitive agreements still to be negotiated and executed, AURORA is intended to be responsible in particular for overall project development, financing and obtaining or procuring the necessary official approvals, permits and licences. MaMing Property Management Sdn. Bhd. is intended to be engaged as a project management consultant for the planning, scheduling, co-ordination and supervision of the respective projects.

The parties intend to set out the details of their collaboration in definitive agreements.  The non-binding MOU that has been signed forms the basis for these negotiations. The MOU will initially be in force for twelve months from 28 August 2026, subject to extension by mutual agreement.

Given the early stage of the discussions, no definitive information can be provided at this stage regarding an investment volume or revenue or earnings contributions arising from AURORA’s collaboration with MaMing Property Management Sdn. Bhd. or from the projects to be jointly implemented.
