Metalcorp Group calls on holders of the 2017/2023 notes to vote in a voting without meeting

Luxemburg, 5 April 2023 – As announced on 30 March 2023, Metalcorp Group S.A., a global service provider for the procurement, production, mining and marketing of metals and minerals, calls on its bondholders of the 2017/2023 notes (ISIN: DE000A19MDV0) to vote in a voting without meeting. The proposed resolutions include (i) approving the replacement of Metalcorp Group S.A. as issuer of the 2017/2023 Notes by FERRALUM METALS GROUP S.A., Luxembourg, which is the bidder for the purchase of the Aluminum and Bulk and Ferrous Sub-Group, and the authorization of the joint representative to sign the discharging debt assumption in respect of all obligations of Metalcorp Group under the Notes, (ii) the adjustment of the interest rate since 2 October 2022 to 9.0% p.a. and the change to quarterly interest payments, (iii) the extension of the maturity of the Notes by three years until 2 October 2026 and the waiver of the partial redemptions as of 31 March and 31 May 2023 and deferral until the maturity date and (iv) the amendment of the collateralization (pledge of the shares of BAGR Non-Ferrous Group GmbH instead of Metalcorp Group S.A.).

During the voting period from 20 April 2023 at 0:00 until 24 April 2023 at 24:00, bondholders will have the opportunity to submit their votes in writing. A quorum of 50% of the outstanding notes is required for a resolution on the proposal.

The invitation to vote and further documents are available for download on the company’s website at www.metalcorpgroup.com under “Investor Area / Noteholder voting 2017/2023 Notes”. The invitation to vote was published today in the German Federal Gazette (Bundesanzeiger).
