PAUL Tech AG: Noteholders’ Meeting in respect of the EUR 35 million notes resolves on extension of the term of the notes

Mannheim, 26 October 2026 – The noteholders’ meeting held today in respect of the EUR 35m 7.00% / 9.00% notes 2020/2026 (ISIN: DE000A3H2TU8 / WKN: A3H2TU; the "Notes") issued by PAUL Tech AG ("Issuer") resolved on the following resolutions in respect of the Notes:

• The term of the Notes is extended until 1 September 2028.
• The Notes will be redeemed at 113% of their nominal amount at maturity.
• The interest rate of the Notes increases to 10% p.a. from 1 December 2026, with semi-annual payments.
• The Issuer will make mandatory pro-rata partial early redemptions prior to the new maturity date.
• The Issuer is obligated to use at least 30% of any new equity capital raised in the future to repay the Notes early.
• The Issuer’s majority shareholder will create a security interest over approx. 7.5% of the Issuer’s share capital in favour of the noteholders.
• Mr Gustav Meyer zu Schwabedissen will be appointed as joint representative of the noteholders.

These resolutions and the corresponding amendments to the terms and conditions of the Notes will become effective upon expiry of the statutory contestation period expected on or around 30 November 2026.
