Information about Mr. Svetlin Todorov‘s shareholdings in Shelly Group SE

Sofia / Munich, 18 August 2026 – Shelly Group SE (Ticker SLYG / ISIN: BG1100003166) ("the Company") announces that it has received the following notifications:

From Mr. Svetlin Todorov – a shareholder and member of the Board of Directors of Shelly Group SE under Art. 19 MAR and Art. 145 of the Public Offering of Securities Act – regarding the disposal (in-kind contribution) of 1,184,995 shares in the Company, representing 6.53% of the Company's share capital and voting rights, to Salisto Holdings LLC;

From Salisto Holdings LLC – a company solely controlled by Mr. Svetlin Todorov , under Art. 19 MAR and Art. 145 of the Public Offering of Securities Act – regarding the acquisition (via in-kind contribution) of 1,184,995 shares in the Company, representing 6.53% of the Company's share capital and voting rights.

The in-kind contribution results in the above shares being transferred from the direct holding of Svetlin Todorov to the direct holding of Salisto Holdings LLC. The total number of shares and voting rights in the Company controlled by Svetlin Todorov remains unchanged at 27.79%.

As a result of the contribution, Svetlin Todorov will hold 21.26% directly and 6.53% indirectly through Salisto Holdings LLC, within the meaning of Art. 146 POSA. The aggregate position controlled by Svetlin Todorov — 27.79% — remains unchanged, and there is no change in the ultimate beneficial owner of the shares or in the control exercised by Svetlin Todorov over the Company.
