Arcus Announces Voting Results of the Annual General and Special Meeting

VANCOUVER, BC / ACCESS Newswire / August 26, 2026 / Arcus Development Group Inc. (TSXV:ADG) ("Arcus" or the "Company") is pleased to announce that the shareholders of the Company (the "Arcus Shareholders") approved the matters put forward at its annual general and special meeting held on August 25, 2026 (the "Meeting"), including the previously announced plan of arrangement (the "Arrangement") between Arcus and Core Silver Corp. (CSE:CC) ("Core Silver"), pursuant to which Core Silver agreed to acquire all of the issued and outstanding common shares of Arcus (each, an "Arcus Share", and collectively, the "Arcus Shares") in exchange for common shares of Core Silver (the "Core Silver Shares"), whereby Arcus Shareholders would be entitled to receive, upon closing, one (1) Core Silver Share for each Arcus Share held immediately prior to the effective time of the Arrangement (collectively, the "Transaction").

Arcus Shareholders holding an aggregate of 14,909,720 Arcus Shares, representing approximately 70.26% of the issued and outstanding Arcus Shares, were present in person or represented by proxy at the Meeting. The special resolution authorizing and approving the Transaction was approved by 96.93% of the votes cast by Arcus Shareholders on the resolution.

Completion of the Transaction remains subject to the receipt of the final order of the Supreme Court of British Columbia approving the Arrangement, receipt of all required stock exchange approvals, including approval of the Canadian Securities Exchange for the listing of the Core Silver Shares issuable pursuant to the Arrangement Agreement (as defined below), and the satisfaction or waiver of the other customary closing conditions set out in the Arrangement Agreement.

The hearing for the final order approving the Arrangement is expected to take place before the Supreme Court of British Columbia on August 28, 2026 or shortly thereafter. Subject to receipt of the final order and the satisfaction or waiver of the remaining conditions to closing by the parties to the Agreement, the Transaction is expected to be completed shortly following receipt of the final order.

Additional information regarding the terms of the Transaction, including a summary of the material terms and conditions of the arrangement agreement between the Company and Core Silver dated July 9, 2026 (the "Arrangement Agreement"), is set out in the Company's management information circular dated July 20, 2026 (the "Information Circular"), each of which is filed under the Company's SEDAR+ profile available at www.sedarplus.ca.

Arcus Shareholders also approved all other matters presented at the Meeting, including fixing the number of directors at four, the election of management's director nominees, the re-appointment of D&H Group LLP, Chartered Professional Accountants, as auditor of the Company, the re-approval of the Company's 10% rolling stock option plan (the "Plan"), and the ratification of the grant of an aggregate of 600,000 stock options under the Plan.

None of the securities to be issued pursuant to the Transaction have been or will be registered under the United States Securities Act of 1933, as amended (the "U.S. Securities Act"), or any state securities laws, and any securities issuable in the Transaction are expected to be issued in reliance on the exemption from registration provided by Section 3(a)(10) of the U.S. Securities Act and applicable exemptions under state securities laws.
