Compagnie Chargeurs Invest becomes Belgrano and reaches a new milestone in the implementation of its public share buyback offer (OPRA)

PRESS RELEASE
Paris, October 20, 2026

Compagnie Chargeurs Invest becomes Belgrano and reaches a new milestone in the implementation of its public share buyback offer (OPRA)

  • Compagnie Chargeurs Invest officially adopts its new identity, Belgrano, following the Extraordinary General Meeting (EGM) held today
    • This new name pays tribute to the Group’s roots by taking up that of the first vessel of the Compagnie des Chargeurs Réunis, the Belgrano , while reaffirming its pioneering and international spirit.
    • This change of identity is also an opportunity to highlight the Group’s strategy and strengths:
      • Sector strengths, driven by businesses whose growth potential outperforms economic cycles, and which are particularly attractive to talent,
      • Financial strengths, thanks to businesses generating higher and more recurring revenue,
      • Geographic strengths, built on a solid global footprint focused on the fastest-growing regions.
    • In line with this new identity, the share’s ticker symbol will change in the coming days to “BGO”.
  • A decisive milestone reached in the implementation of the proposed OPRA at a price of €14.0
    • The Extraordinary General Meeting today approved the capital reduction required prior to the launch of the Offer.
    • Completion of the transaction is targeted no later than the first quarter of 2027, in strict compliance with the initial timetable.

Michaël Fribourg, Chairman and Chief Executive Officer of the Belgrano Group, stated:

“I would like to thank our shareholders for the confidence they expressed in us today at our Extraordinary General Meeting. The adoption of the Belgrano name completes the Group’s transformation. We can now build on a portfolio of global leaders that embodies our ambitions in the new luxury businesses, a strengthened balance sheet and an international footprint focused on the fastest-growing regions. The approval of the capital reduction also marks a new milestone in the implementation of our OPRA, in line with the announced timetable. This offer will provide liquidity on attractive terms to shareholders who so wish, while being accretive for those who choose to support us over the long term. Our absolute priority remains the disciplined execution of our strategy to create sustainable value for all our shareholders.”

The Company’s Extraordinary General Meeting, chaired by Michaël Fribourg, Chairman and Chief Executive Officer, was held on Tuesday, October 20, 2026, at the Étoile Business Center, 21-25 rue Balzac, 75008 Paris.
