The new shares are expected to be admitted to trading in the regulated market of the Frankfurt and Dusseldorf Stock Exchanges on September 17, 2026 without a prospectus. Trading in the new shares, which will be included in the existing listing of the Company’s shares, is intended to commence on September 18, 2026. Delivery of the new shares is also expected on September 18, 2026. The Company intends to use the net proceeds from the capital increase to optimize its capital structure in order to enhance its financial flexibility for future growth opportunities. As part of the private placement, DEUTZ will commit to a lock-up period of six months, subject to market standard exemptions including the increase of the share capital against contribution in kind as resolved by the extraordinary general meeting in August 2026.
