Interest will be paid to investors monthly, on the first day of each month. December 1, 2026, was set as the value date, and the first interest payment will be made in January 2027. The Company expects to publish a capital markets prospectus- prepared in accordance with the requirements of the Prospectus Regulation and approved by the Commission de Surveillance du Secteur Financier (“CSSF”) - on its website (www.eph-group.com) on or around October 23, 2026. The offering of the 2026/2033 bonds is subject to approval by the CSSF and publication of the capital markets prospectus. The public offering is directed at persons in the Federal Republic of Germany, the Grand Duchy of Luxembourg, and the Republic of Austria. The interest-free subscription period for the 2026/2033 Bonds is expected to run from October 28 through November 25, 2026, at 12:00 p.m. Purchase orders may be submitted starting October 28, 2026, via the online subscription portal on the issuer’s website (www.eph-group.com). The new 2026/2033 bonds are scheduled to be listed for trading on the Vienna MTF of the Vienna Stock Exchange, in the “corporates prime” segment, on December 1, 2026. The public offering of the 2026/2033 bonds is expected to end on October 22, 2027, at 12:00 p.m. (subject to possible shortening). In parallel, the Company also plans to make an exchange offer to the holders of the 2025/2032 bonds and to the holders of the 2023/2030 bonds (ISIN: DE000A3LJCB4) (in a 1:1 ratio in each case). Further details regarding the exchange offer will be determined separately and are expected to be announced after the end of the interest-free subscription period as part of a separate exchange offer.
