Fourcore Tech Finance Ltd.: Update on capital structure realignment and timing of September 2026 interest payments

London, United Kingdom, 14.  September 2026. Fourcore Tech Finance Ltd. (formerly: Cardea Luna Capital Partners Ltd.) (the “Company”) resolved today that it is continuing to develop a comprehensive realignment of its financing and capital structure. The process is intended to establish a sustainable long-term financial framework for the Company’s future activities and to provide a coordinated overall solution for holders of its outstanding notes.

As part of this process, the Company resolved to review the timing and treatment of amounts payable under the notes in conjunction with the broader proposals under development.

Against this background, the Company does not expect to make the interest payment falling due on 16 September 2026 under its 10.25% notes maturing on 16 September 2029 (ISIN DE000A3L2B98 / WKN A3L2B9) on the scheduled payment date.

The Company also does not expect to make, on the scheduled payment date, the interest payment which, subject to the resolved amendments to the terms and conditions, will fall due on 16 September 2026 under its 10% notes with an amended maturity date of 16 September 2029 (formerly ISIN DE000A3K5H67 / WKN A3K5H6).

The interest payment due on 16 September 2025 under the notes with ISIN DE000A3L2B98 and the payments due on 28 February 2026 under the notes with former ISIN DE000A3K5H67 remain outstanding. These amounts are being addressed within the Company’s broader financing and capital structure realignment.

The Company is actively developing the structure, terms and implementation mechanics of a proposal for holders of the notes. The proposal is intended to address the Company’s outstanding obligations in a coordinated manner while supporting the Company’s future activities and establishing a sustainable capital structure.

The Company intends to engage constructively with holders of the notes as the proposal is finalised, subject to applicable legal and regulatory requirements. Further information will be communicated as the process advances.
