Number of Shares forming the Capital and Total Number of Voting Rights as of 30 June 2026

In accordance with Article L. 233-8 II of the French Commercial Code and Article 223-16 of the AMF General Regulation, HiPay Group discloses the following information regarding its share capital structure as at 31 May 2026: 6,313,974 shares comprising the share capital, 6,880,220 theoretical voting rights (including treasury stock), and 6,864,740 voting rights (excluding treasury stock).

This information reflects transactions carried out under the share buyback programme authorised by the Annual General Meeting held on 4 June 2025 and implemented by the Board of Directors on 23 February 2026.
