Katjes Greenfood places its 2026/2031 bond with a volume of EUR 44 million following significant oversubscription

  • Initial target volume of EUR 40 million significantly oversubscribed
  • Issue volume deliberately increased only modestly by 10% to EUR 44 million
  • Interest rate of 8.00% p.a. in the lower third of the original interest rate range
  • Early redemption of the 2022/2027 bond planned on or after 29 November 2026

Düsseldorf, 19 October 2026 – Katjesgreenfood GmbH & Co. KG (“Katjes Greenfood”), the Katjes Group’s investment company focused on growth companies in the food industry’s ‘Better-for-You’ segment, has successfully placed its new 2026/2031 corporate bond (WKN: A5GS6W; ISIN: NO0013759555).

The original target volume of EUR 40 million was intended to enable the early refinancing of existing liabilities. Due to very high demand and significant oversubscription, Katjes Greenfood deliberately increased the issue volume only moderately to EUR 44 million. In doing so, the company is responding to strong investor demand without significantly expanding the originally planned financing volume.

Due to the high demand from institutional, existing and retail investors, subscription offers can only be allocated on a pro rata basis.

All exchange offers were fully met. New subscriptions submitted under the Public Offer (DirectPlace, website) and subscriptions under the additional purchase option were allocated in full up to an amount of EUR 3,000.00. Amounts in excess of this were allocated at a rate of approximately 10%, and rounded up or down to a whole bond in each case. All amounts that could not be allocated due to the oversubscription will be refunded by bank transfer without undue delay.

As announced on 14 October 2026, the 2026/2031 bond will bear interest at 8.00% p.a. This places the interest rate in the lower third of the original interest rate range of 7.75% - 8.50% p.a. The bond has a maturity of 5 years and a denomination of EUR 1,000.00. The issue price is 100 per cent of the nominal amount. Interest is paid semi-annually in arrears on 26 April and 26 October, commencing on 26 April 2027.

Katjes Greenfood intends to use the net proceeds from the issue primarily to refinance and repay the 2022/2027 bond and the 2021/2026 crowdfunding subordinated loan, as well as for general corporate purposes and working capital of the Group.

As announced, the 2022/2027 bond is to be called on or after 29 November 2026 at 101 per cent of the nominal amount – corresponding to a cash settlement amount of EUR 10.00 per bond, plus accrued interest.

The bonds will be delivered on the issue date (value date), 26 October 2026. From that date, the 2026/2031 bond will be traded on the Open Market of the Frankfurt Stock Exchange (Quotation Board segment). Trading on terms of issue will be possible from 20 October 2026. Inclusion in the Nordic ABM of the Oslo Stock Exchange is planned within six months of the issue date.

The issue was managed by ABG Sundal Collier ASA as global coordinator and Montega Markets GmbH (contractually bound intermediary of Wolfgang Steubing AG Wertpapierdienstleister) as joint lead manager. Heuking acted as legal adviser to the issuer, whilst iron AG acted as communications adviser.

Further information on the issue, including the legally binding securities prospectus, is available on the issuer’s website at https://www.katjesgreenfood.de/en/investors/ under the sub-section ‘BONDS ’26/’31’.
