Pentixapharm completes capital increase and raises total gross proceeds of approximately EUR 20.4 Million from full placement of new shares to advance PANDA Phase 3

Proceeds support key Phase 3 activities and U.S. expansion following FDA “Study May Proceed” and Fast Track Designation for [⁶⁸Ga]Ga-PentixaFor

Berlin, July 27, 2026 - Pentixapharm Holding AG, Berlin (ISIN DE000A40AEG0, WKN A40AEG), today announced the completion of the capital increase comprising the rights offering and subsequent private placement launched on July 1, 2026. In total, 11,020,212 new registered no-par value shares were placed at a price of EUR 1.85 per new share. The offering was substantially oversubscribed so that all offered shares could be placed, generating gross issue proceeds of approximately EUR 20.4 million.

The completion of the financing follows two important U.S. regulatory milestones for [⁶⁸Ga]Ga-PentixaFor. In June 2026, the U.S. Food and Drug Administration (FDA) completed its 30-day review of the Investigational New Drug (IND) application for the U.S. Phase 3 PANDA study and allowed the study to proceed (“Study May Proceed”). In July 2026, the FDA granted Fast Track designation to [⁶⁸Ga]Ga-PentixaFor for the diagnostic subtyping of adult patients with confirmed primary aldosteronism.

PANDA is a U.S.-focused, pivotal Phase 3 registrational study designed to evaluate [⁶⁸Ga]Ga-PentixaFor PET/CT as a non-invasive imaging approach for subtyping adult patients with confirmed primary aldosteronism and supporting treatment decisions between surgical and long-term medical management. Pentixapharm is preparing to initiate PANDA in the second half of 2026. Fast Track designation provides for more frequent interaction with the FDA during development and may support a more efficient regulatory review process if the relevant criteria are met.

Pentixapharm intends to use the net issue proceeds primarily to finance key steps of the PANDA Phase 3 study, as well as the Company’s further corporate development and expansion in the U.S. market. A further portion of the net issue proceeds is intended to be used for the continued preparation of clinical development activities and to strengthen the Company’s manufacturing and supply infrastructure. These measures are intended to support the late-stage clinical development of the Company’s programs and further build the foundation for potential future commercialization.

In addition, Pentixapharm intends to use proceeds to further develop its CXCR4-based theranostic platform, including PentixaTher in hematologic oncology indications. Finally, the proceeds are intended to strengthen the Company’s equity base and to fund general corporate purposes and working capital beyond the first quarter of 2027.

During the subscription period from July 7, 2026 to July 21, 2026, subscription rights were exercised for 9,096,771 new shares, including shares acquired through the oversubscription offer. This represented 82.5% of the total planned volume of the capital increase and generated gross issue proceeds of approximately EUR 16.8 million from the rights offering alone. Following the close of the private placement on July 27, 2026, all of the remaining 1,923,441 new shares were placed with selected qualified institutional investors. Pentixapharm’s major shareholder, Eckert Wagniskapital und Frühphasenfinanzierung GmbH, fully exercised its subscription rights as previously announced. The rights offering and private placement were accompanied by BankM AG as lead manager and by NuWays as selling agent.

The Company’s share capital will increase from EUR 24,795,477.00 by EUR 11,020,212 to EUR 35,815,689 following registration of the implementation of the capital increase. The transaction was carried out by making partial use of the Company’s Authorized Capital. After deduction of estimated transaction costs of approximately EUR 0.75 million, Pentixapharm expects net issue proceeds of approximately EUR 19.65 million.

No securities prospectus was published for the public offering of the new shares or for their admission to trading. In accordance with Regulation (EU) 2017/1129, Pentixapharm published a document containing the information required under Annex IX to Regulation (EU) 2017/1129, which has been available on the Company’s website in the Investors section since July 3, 2026.
