Healthcare specialist SHS Capital acquires a majority stake in Basic Pharma, a leading Dutch pharmaceutical CDMO and dossier developer for nasal sprays

  • SHS Capital has signed a binding agreement to acquire a majority stake in Basic Pharma Holding B.V., a Netherlands-based pharmaceutical developer and full-service contract development and manufacturing organisation (CDMO). The transaction is expected to close shortly
  • Basic Pharma is a specialised developer and manufacturer of nasal sprays and semi-solid pharmaceuticals. Its integrated “licence & supply” model – combining in-house product development, ownership of proprietary dossiers, regulatory affairs, pharmacovigilance and GMP manufacturing – differentiates the company in the European market and ranks it among the top European nasal spray CDMOs by production capacity
  • The company has grown strongly in recent years, driven by high demand for its nasal sprays, creams and newly introduced prescription products, and benefits from a highly loyal customer base of white-label and private-label distributors as well as generic pharmaceutical companies
  • The investment of SHS Capital provides a structured succession solution for founder and CEO Bob Kool, who reinvests alongside SHS Capital, and aims to accelerate Basic Pharma’s next phase of growth through internationalisation, continued product development and selective buy-and-build opportunities

Healthcare investor SHS Capital invests in Basic Pharma, a Dutch speciality pharmaceutical platform and full-service CDMO headquartered in Geleen. The investment provides a succession solution for the founder and aims to develop Basic Pharma into a leading European speciality pharma and dossier development platform for nasal sprays.

Founded in 2003 by pharmacist Bob Kool, Basic Pharma has evolved from a local contract manufacturer into an integrated pharmaceutical platform combining in-house product development, regulatory affairs, pharmacovigilance and GMP manufacturing at its facility in Geleen, the Netherlands, serving an international client base across prescription (Rx) and over-the-counter (OTC) pharmaceuticals as well as investigational medicinal products. A key differentiator is the company’s ability to develop, register and out-license product dossiers: under its “licence & supply” model, internally developed products are licensed to distributors and pharmaceutical partners while Basic Pharma retains exclusive manufacturing and market authorization rights, creating long-term customer relationships and strong recurring revenues. Basic Pharma holds a leading position in the Dutch nasal spray market and, thanks to its lean and highly efficient production set-up, offers its products at competitive prices, also internationally.

SHS Capital intends to accompany Basic Pharma as a growth partner in the coming years. The joint value creation plan focuses on strengthening the highly successful core business, driving operational excellence, further professionalising the organisation, and accelerating international expansion, particularly in European markets with attractive pricing dynamics. In addition, Basic Pharma is well positioned as a platform for selective buy-and-build opportunities in the fragmented European CDMO landscape. Founder Bob Kool will continue to support the company and will remain involved as a shareholder and member of the Advisory Board.
