Star Copper Announces Closing of Charity Flow-Through Unit Private Placement

VANCOUVER, BC / ACCESS Newswire / April 2, 2026 / Star Copper Corp. (the "Company") (CSE:STCU)(OTC:STCUF)(FWB:SOP) is pleased to announce, further to its news releases dated March 3, 2026, that it has closed its non-brokered private placement for gross proceeds of C$2,000,001.10 from the sale of 1,156,070 flow-through units of the Company (each, a "FT Unit") at a price of C$1.73 per FT Unit (the "Offering") to charitable purchasers.

Each FT Unit is comprised of one flow-through common share (each, a "FT Share") issued as a "flow-through share", as defined in subsection 66(15) of the Income Tax Act (Canada) (the "TaxAct") and one transferable common share purchase warrant (a "Warrant"). Each Warrant also qualifies as a "flow-through share" (as defined in subsection 66(15) of the Tax Act). Each Warrant entitles the holder to purchase one non-flow-through common share of the Company (each a "Warrant Share") for a period of two years at a price of C$1.75 per Warrant Share.

The gross proceeds from the Offering will be used to incur "Canadian exploration expenses" that are "flow-through critical mineral mining expenditures", within the meaning of the Tax Act, on the Company's flagship Star Project in British Columbia. The Company expects the flow-through funds to directly support an aggressive 2026 drill program, including expanded step-out drilling, deeper testing of priority targets, and follow-up drilling guided by ongoing three-dimensional geological modeling and planned deep-penetrating 3D geophysics.

All securities issued under the Offering have a hold period of four months and a day from the date of issuance.
