Suspension of the Jubin Frères SA Reverse Takeover
 

Zug, October 5^th, 2026

The reverse takeover transaction involving Jubin Frères SA, originally scheduled for the fourth quarter of 2026, has been suspended until further notice. No date has currently been set for the resumption of discussions. As of today, EEII AG considers the proposed transaction to be terminated.

Christian Lüscher, who has served as Chairman of the Board of Directors until today, will step down from the Board with immediate effect.

EEII AG is considering a capital increase in order to maintain an adequate level of liquidity and enable the Company to continue pursuing its strategic objectives.
